  1. General provisions

 

  1. These Terms and Conditions set out the general conditions, the manner of providing services electronically and sales to businesses within the European Union, including Poland and Sweden, via the B2B Online Store at www.shop.scandinavianmoss.eu. 
  2. The Seller makes these Terms and Conditions available on the Store's website. Customers may at any time: access the Terms and Conditions, record them, obtain and reproduce them by printing or saving them on a data carrier.
  3. The condition for starting to use the Shop is to read these Terms and Conditions and accept them in full. 
  4. These Terms and Conditions have been prepared in accordance with Swedish law, i.e. the place of the registered office of the Seller and the Manufacturer. The parties agree to be governed by Swedish law. 
  5. The Shop is not intended for consumers, but exclusively for entrepreneurs operating professionally within the EU, including Sweden and Poland. Only an entrepreneur may be a buyer, and in the case of natural persons conducting business activity, such a person must have full legal capacity.
  6. The Seller is a producer of reindeer moss, which is harvested by hand in Scandinavian forests. The moss is then dried, packaged and shipped to customers. In addition, the manufacturer also professionally impregnates the moss and dyes it in a wide variety of colours. The seller offers both dried and impregnated moss. 
  7. The Customer acknowledges and accepts that the products in the offer are under partial protection in Poland. In Sweden, on the other hand, their acquisition and use is allowed.  
  8. All customer orders constitute an offer to conclude a Sales Agreement. 
  9. Use of the Store is possible provided that the Customer's IT system meets the following minimum technical requirements: a computer or mobile device with Internet access (with a minimum 800MHz processor; 512MB RAM; a graphics card and screen supporting a resolution of 800x600 and 56 colours); Internet Explorer version 10 or newer installed, or the latest versions of browsers (including mobile browsers): Chrome, Firefox, Opera, Safari with JavaScript enabled; a current, active and correctly configured email account; the ability to read files in Portable Document Format (pdf). 
  10. If the Customer uses hardware and software that does not meet the technical requirements specified above, the Seller does not guarantee the proper functioning of the service and reserves the right to state that this may have a negative impact on the quality of the services provided by the Seller.
  11. The Seller informs that the public nature of the Internet and the use of services provided electronically may involve the risk of unauthorised persons obtaining and modifying Customer data, therefore Customers should use appropriate technical measures to minimise the above risks, e.g. antivirus software.
  12. The Seller reserves the right to amend the Terms and Conditions. In the event of changes to the Terms and Conditions, the Seller shall publish a new version of the terms and conditions on the online shop's website. The Terms and Conditions in force at the time of placing the order shall apply until its acceptance. 
  13. The Customer is obliged to:
  1. provide only true, current and all necessary data when registering and placing an order in the Online Store, as well as update them immediately.
  2. use the services provided by the Seller in a manner that does not interfere with the functioning of the Seller, the Online Store and other Customers.
  3. use the services provided by the Seller in a manner consistent with the law and the provisions of the Terms and Conditions. 
  4. not to provide illegal content.
  5. use the products in accordance with their purpose, description and instructions of the Seller.

 

 

  1. Services provided electronically

 

  1. The services are provided by the Seller free of charge, 24 hours a day, 7 days a week. 
  2. The Service Provider provides the following Electronic Services to Customers via the Online Store:
  1. Contact form.
  2. User account.
  3. Shopping basket.
  4. Placing orders and concluding Sales Agreements, on the terms specified in these Terms and Conditions.
  1. To use the functionality of the contact form, you need to fill in its mandatory fields (name, surname, e-mail address, VAT-EU, company name, address/registered office of the company), enter the required content, and then send a message to the Seller. The Seller will respond immediately, using the functionality of the Store, electronically, by sending an e-mail.
  2. User Account. An account in the Store is created by completing and submitting a registration form using the Store's automatic mechanism. Upon submission of the registration form, an agreement is concluded between the Customer and the Seller for the maintenance of an account in the Store. 
  3. The Electronic Account service is provided free of charge for an indefinite period. The Customer may, at any time and without giving any reason, delete the Account (resign from the Account) by sending a relevant request to the Seller, in particular via e-mail to the following address: scandinavianmoss@scandinavianmoss.eu . 
  4. The Seller may refuse to register an Account if the Customer violates the provisions of I. Section 13 of the Terms and Conditions. 
  5. The Shopping Cart is an electronic service that begins when the Customer adds the first Product to the Shopping Cart. The Shopping Cart is a one-time service, provided free of charge, and ends when the Customer places or cancels an Order. Depending on the available functionalities, the Shopping Cart may remember information about the Products selected by the Customer even after the browser session has ended, but does not guarantee the availability of the products. 
  6. The contract for the provision of the Electronic Service consisting in enabling the placement of an Order in the Shop is concluded for a fixed period and is terminated when the Customer places or ceases to place an Order.

 

 

  1. Orders/Sales Agreement 

 

  1. The information presented in the Online Shop constitutes only an invitation to conclude a contract, addressed by the Seller to Customers, and not an offer.
  2. The Customer may place an Order for Products from the Shop:
  1. online via the Shop's website,
  2. by e-mail. 
  3. by telephone. 
  1. The condition for the fulfilment of the Order is the prior correct completion of the Order Form or the provision of all necessary information for the fulfilment of the order, i.e. company name, EU VAT number, first and last name, correspondence address, delivery address for the Order, telephone number and e-mail address. 
  2. After placing the Order, the Seller shall immediately confirm its receipt to the Customer within 3 working days by e-mail to the address provided by the Customer, which shall contain all relevant details of the Order, including the Seller's statement of receipt. An Order placed with the Seller by the Customer constitutes an offer to conclude a Contract for the sale of the Products covered by the Order. 
  3. If it is not possible to confirm the Order due to the Customer's fault, in particular as a result of providing incorrect contact details, the Order will be cancelled by the Seller within 3 working days from the date of placing the Order.
  4. The Sales Agreement is concluded in Polish or English, depending on the language selection of the shop. 
  5. On the product page, there is detailed information about the time it takes for the Seller to prepare the product for shipment. Order processing begins as soon as payment is received. In the case of payment by traditional bank transfer, the order processing time is extended by the time needed for the payment to be credited. 
  6. Order processing times may increase depending on stock levels. 
  7. For orders of more than one palette or non-standard colours, the delivery date is determined individually between the parties.

 

 

  1. Prices and Payments

 

 

 

  1. The prices listed on the Store's website for a given Product are net or gross prices, depending on whether the customer, acting as a professional entrepreneur, is a registered VAT taxpayer in the EU. The price of the product also includes the cost of delivery to the customer.
  2. The Seller offers the following payment methods:
  1. Payment via the Stripe platform. 
  2. Bank transfer.

  1. When making a payment, the customer will be informed immediately before making the payment about the amount to be paid, the possible methods of payment and the details of the payment operator, if this option is available for a given service. Detailed terms and conditions for making payments via electronic payment operators are available on the website of the respective operator.
  2. The order processing time is approximately 10 working days from the date of confirmation of acceptance of the order for processing by the Seller. 
  3. In the case of Products that are not in the Seller's warehouse, the delivery time may be extended to 30 working days. 
  4. The Customer also authorises the Seller to issue a VAT invoice without the recipient's signature in electronic form (or another document confirming the sale in electronic form).  

 

 

  1. Delivery

 

  1. The Products are delivered to the address provided by the Customer when placing the Order. Delivery is made within the territory of the Republic of Poland and European Union countries. 
  2. The available delivery methods for the Product are presented to the Customer on the Online Store website, as well as at the time of placing the Order by the Customer (UPS/DHL/International Shipping).
  3. The available delivery methods may depend on the selected payment method or Product, and may be subject to change if several Orders are placed at the same time, in particular due to the Products or Additional Services covered by them.
  4. Delivery is free and is already included in the product price. Details are specified in the delivery time and cost tab. 
  5. Once the entire order has been completed, the package or pallet, depending on the order, will be packed and handed over to the courier or forwarding company. Delivery time depends on the type of shipment and the recipient's address. This usually takes up to 10 business days.  A shipping confirmation and a link to track the package or pallet will be sent to the Customer's email address provided when placing the order.
  6. Upon delivery of the Product by the Seller to the carrier, the benefits and burdens associated with the item, as well as the risk of accidental loss or damage to the item, are transferred to the Customer. In such a case, the Seller shall not be liable for any loss, shortage or damage to the Product arising from the moment of acceptance for transport until its delivery to the Customer, nor for any delay in the transport of the shipment.
  7. If the Product is sent to the Customer via a carrier, the Customer who is an entrepreneur is obliged to inspect the shipment in a timely manner and in a manner accepted for shipments of this type. If they find that the Product has been lost or damaged during transport, they are obliged to take all necessary steps to determine the carrier's liability. 

 

 

  1. Retention of title 

 

  1. The delivered goods remain the property of the Seller until full payment has been received.

 

  1. Returns and complaints

 

  1. Consumers who, in accordance with the Distance and Off-Premises Sales Act (applicable in Sweden), have the right to withdraw from the contract without giving any reason within 14 days of receiving the goods (Ångerrätt) are not customers of the Seller in the B2B store. 
  2. The Seller does not grant entrepreneurs a voluntary right to withdraw from the contract.

  1. The complaint should include the Customer's details (company name, first name, surname, address, contact number) and proof of purchase of the Product from the Seller. 
  2. The Seller will respond to the complaint within 14 days of receipt. 
  3. The warranty is excluded and the Seller does not provide any additional guarantee. 
  4. Due to the specific nature of the products, the following shall not be considered defects: in particular:

- Wear and tear resulting from normal use or other natural wear and tear;

- Condition or damage resulting from improper handling, storage, use or care of the product. 

  1. The Seller's liability to the Customer, regardless of its legal basis, is limited - both in the case of a single claim and for all claims in total - to the amount of the price paid and the delivery costs under the Sales Agreement. 
  2. The Seller shall only be liable in the event of intentional damage and within the limits of the actual losses incurred by the Customer who is an Entrepreneur and shall not be liable for lost profits. 

 

  1. VIII.Force majeure clause

 

 

  1. Neither party shall be liable for any failure to perform any of its obligations if such failure is caused by an unforeseeable event beyond its control or an incident of force majeure, including, but not limited to, war, epidemic, flood, fire, storm, shortage of raw materials, transport strike, partial or total strike, or blockade. The party affected by such events must immediately notify the other party, no later than 14 calendar days after the occurrence of the event.
  2. The parties agree that they will jointly endeavour to fulfil their obligations to the best of their ability while such events persist. 

 

 

  1. Personal data protection

 

  1. The Seller collects and processes personal data provided by Customers in accordance with applicable law and in accordance with the Privacy Policy. 
  2. The Seller shall use appropriate technical and organisational measures to ensure the protection of the personal data being processed.
  3. Additional explanations regarding the protection of personal data are included in the "Privacy Policy and Cookies" tab available on the Website. 

 

  1. Illegal Content/DSA

 

  1. It is forbidden for the Client to provide illegal content. The Seller's contact point for direct communication for the purposes of Regulation 2022/2065 on the Single Market for Digital Services and the amendment of Directive 2000/31/EC (Digital Services Act/DSA) is: email address scandinavianmoss@scandinavianmoss.eu.  Communication can take place in Polish or English.

 

  1. Severability clause

 

  1. If one or more provisions of this agreement become invalid or are deemed ineffective by any court or regulatory authority, this shall not affect the validity of the remaining provisions.

 

  1. Final provisions

 

  1. Swedish law shall apply to agreements with Customers. The United Nations Convention on Contracts for the International Sale of Goods, drawn up in Vienna on 11 April 1980, shall not apply. 
  2. Any disputes arising between the Seller and a Customer who is not a consumer shall be submitted to the court having jurisdiction over the Seller's registered office in Sweden. 
  3. In matters not covered by these terms and conditions, the provisions of Swedish law and EU law shall apply.
